On 14 April 2026, Plaza Centres plc announced the results of the Extraordinary General Meeting held on that day.
The first resolution relating to the reduction in the number of board members was an extraordinary resolution. The resolution was supported by more than 75% of the shares represented at the meeting, but less than 65% of the total issued share capital of the company. As both thresholds were required to be met, the resolution was not carried.
The second resolution relating to a share buyback was also an extraordinary resolution. The resolution was supported by more than 75% of the shares represented at the meeting, but less than 65% of the total issued share capital of the company. As both thresholds were required to be met, the resolution was not carried.
The third resolution relating to a bonus share issue was an ordinary resolution, but it did not achieve a simple majority and thus was not carried.
Plaza will convene a further extraordinary general meeting at which the first two resolutions shall once again be put to the vote of shareholders. At such second meeting, the resolutions may be passed by either of the following majorities:
(a) 75% of the shares represented at the meeting; or
(b) if the meeting is attended by holders of more than 50% in nominal value of all issued shares, a simple majority of the votes cast.
The EGM is to be held by not later than 14 May 2026.
