LifeStar Holding plc - Extraordinary General Meeting

On 27 June, GlobalCapital plc issued an announcement revealing that it will be holding an Extraordinary General Meeting (EGM) on 22 July during which shareholders will be asked to consider and approve the following resolutions:

(i)            That the Company’s authorised share capital is increased from €8,735,160 divided into 30 million shares of €0.291172 each to €24,749,620 divided into 85 million shares of €0.291172 each;

(ii)           That the Company’s Board of Directors be authorised to issue up to a maximum amount of new shares not exceeding the authorised share capital of the Company and that such authorisation will be valid for a period of five years (renewable for further periods of five years each); and

(iii)         That a number of articles of the Company’s Memorandum and Articles of Association be amended by the adoption and substitution of new articles.

Shareholders as at close of trading on 20 June 2016 will be eligible to attend to the EGM.
