GO plc - Property Spin-Off

On 18 June, GO plc issued an announcement revealing its decision to hold an Extraordinary General Meeting on Wednesday 22 July in connection with its planned reorganisation of its corporate structure including a spin-off of its property subsidiary which had been explained in a Company Announcement on 5 May 2015.

During the meeting, shareholders will be asked to approve a number of resolutions related to a number of amendments to the Company’s Memorandum and Articles of Association allowing the Directors to pay dividends, final or interim, in kind through the distribution of any assets or property of the Company including any paid-up shares, debentures or other securities belonging to the Company or any of its subsidiaries.

Furthermore, shareholders will also be asked to approve the spin-off of the Company’s shareholding in Malta Properties Company Limited (MPL) to be effected through the payment of an interim dividend in kind by way of a distribution of MPL’s shares which will be distributed pro-rata to the shares held by the shareholders in GO.

Shareholders on the Company’s register as at the close of 22 June 2015 (including trades up to Thursday 18 June) shall receive the Explanatory Circular and other documentation and shall be entitled to attend the Extraordinary General Meeting and vote at the same meeting.
